In Superman (and Seinfeld) lore, "bizarro" world is one in which the people and places are the same but different. Almost as if they've been inverted.

The big picture: SPACs have become bizarro private equity.

What's happening: Private equity firms have spent decades convincing public companies to go private, or private companies to swap financial sponsors.

  • They tell CEOs that being private means no longer worrying so much about quarterly numbers, creating flexibility to make decisions in the company's best long-term interests.
  • They won't pace public backlash over executive pay or the other disclosure downsides of public company life.

Now, many of these same private equity firms are creating SPACs whose primary purpose is to take private companies public.

  • Names like TPG and Gores and ArcLight and (just announced) H.I.G. Capital.
  • The acquisition part is the same, but everything else is different. Even the transaction financing is inverted, often about equity instead of debt.
  • It is, in a word, bizarro.

The bottom line: Private equity has always been as much about business opportunity as it's been about business ideology. Its enthusiastic participation in SPACs reflects that reality, even if it defies the rhetoric.

The BFD

AppHarvest, a Morehead, Ky.-based developer of large-scale tomato greenhouses, is going public via a reverse merger with a SPAC called Novus Capital (Nasdaq: NOVSU). The company would have an initial market value of around $1 billion.

  • Why it's the BFD: This is about to be a "unicorn" based in one of America's poorest congressional districts. AppHarvest CEO Jonathan Webb tells Axios that the company will employ around 350 people in Morehead by year-end, and that its location allows its product to reach 75% of the continental U.S. within a one-day drive.
  • Details: The merger would include $375 million in new equity commitments from Fidelity, Inclusive Capital, and Novus Capital. AppHarvest previously raised around $160 million in VC funding firms firms like ValueAct Capital, Revolution Rise of the Rest, and Equilibrium Capital.
  • AppHarvest directors include Martha Stewart, J.D. Vance, Jeff Ubben, and Impossible Foods CFO David Lee.
  • The bottom line: "We looked at lots of ag startups, but a lot of time we found a desire to build tech for its own sake without a really good business model or understanding of how to bring the produce to market. But here they already had distribution agreements and were growing produce at scale with defensible margins." — J.D. Vance, AppHarvest director and early investor, tells Axios

Northvolt, a Swedish maker of lithium-ion batteries, raised $600 million. Baillie Gifford, Goldman Sachs and Volkswagen co-led, and were joined by Baron Capital Group, Bridfield Investments, Norrsken VC, PCS Holding, Cristina Stenbeck and Daniel Ek. http://axios.link/Vax4

🚑 InventisBio, a Shanghai-based biotech startup focused on gout and breast cancer, raised $147 million in Series D funding. Seismic, a San Diego-based sales process automation company, raised $92 million in Series F funding. Permira led, and was joined by Ameriprise Financial, EDBI and return backers Jackson Square Ventures, Lightspeed Venture Partners, and T. Rowe Price. http://axios.link/NyaM

🚑 Dewpoint Therapeutics, a Cambridge, Mass.-based drug discovery startup focused on biomolecular condensates, raised $77 million in Series B funding. KKday, a Taipei-based travel activities platform, raised $75 million in Series C funding. Cool Japan Fund and the National Development Fund of Taiwan co-led, and were joined by Monk's Hill Ventures and MindWorks Capital. http://axios.link/pGmY

🚑 Ilias Biologics, a South Korean biotech focused on inflammatory diseases, raised $20.6 million in Series B funding. • McAfee, a San Jose, Calif.-based provider of provider of antivirus and endpoint security software, filed for an IPO that Renaissance Capital estimates could raise upwards of $2 billion. It plans to list on the Nasdaq (MCFE) with Morgan Stanley as lead underwriter, and reports $31 million of net income on $1.4 billion in revenue for the first half of 2020. 🚑 C4 Therapeutics, a Watertown, Mass.-based developer of protein degraders for cancer treatment, set IPO terms to 8.8 million shares at $16-$18.   • Only 11% of LPs expect to resume physical meetings before year-end.
  • 48% of LPs believe the biggest impacts of COVID-19 on the private markets are in the future.
  • 60% of LPs expect Joe Biden to win the presidency, with 36% saying the election doesn't factor in their decision-making (13% call it a "significant factor").
  • 70% of LPs say they are not facing liquidity issues.
